Labcorp to acquire BioReference Health assets for $722M cash

Oct 18, 2026·read at Fierce Biotech ↗DealPositive

Labcorp and OPKO Health announced an agreement in which Labcorp will purchase select assets of BioReference Health, a subsidiary of OPKO.

The assets include laboratory testing businesses focused on clinical and women’s health, urology, corrections, more than 80 patient service centers, and the proprietary 4Kscore test, an FDA‑approved blood test that predicts aggressive prostate cancer risk.

The deal provides $722 million in cash at closing, subject to revenue‑based adjustments, and up to $150 million in an earnout linked to 4Kscore test revenue. Labcorp expects the acquired operations to generate roughly $250 million in the first year.

Both companies will continue operating independently until the transaction closes, after which Labcorp expects the acquisition to expand its diagnostic capabilities and improve affordable, high‑quality services for patients and providers.
